Selling Residential Assets and Portfolios

Residential remains the most sought-after asset class in Germany, but not at any price. Regulation, deferred maintenance and the cost of debt decide what a portfolio is really worth.

Sale mandates

Selling residential portfolios and developments

Sell residential portfolios & apartment buildings

Standing portfolios, apartment buildings and tenanted assets – positioned around rent structure, maintenance condition and the regulatory environment, and placed with institutional buyers, family offices and municipal housing companies.

Sell residential developments & new-build districts in a single transaction

For developers with larger schemes: bulk sale of turnkey districts, forward purchase or forward funding through to an institutional exit – with targeted outreach to institutional buyers and clearly structured security packages.

Fox Capital GmbH is an independent, owner-managed advisory firm for real estate transactions, financing, corporate finance and M&A. We place standing portfolios, individual apartment buildings, new-build districts and turnkey schemes – also as forward purchase or forward funding – with institutions, family offices and municipal housing companies. We advise on transactions from EUR 10 million, with substantially larger volumes for portfolios and residential developments.

Price depends less on the gross initial yield than on the gap between passing and market rent — and on whether that gap can legally be closed at all. Conservation areas, capping limits and rent tables are the core of the calculation, not a footnote.

For new-build schemes there is the additional question of a forward sale versus a sale on completion. Both work, but they lead to very different prices and security packages.

What we look at first

  • Rent roll with lease dates, indexation and step rents
  • Gap to the local comparative rent
  • Conservation statutes and municipal pre-emption rights
  • Maintenance backlog and energy performance
  • Split potential and existing condominium structure

Value drivers

What moves the price here

01

Reversionary potential

The gap between passing and market rent is the strongest lever, as long as it can legally be realised.

02

Energy standard

Energy performance affects financeability and price. Documented refurbishment needs and a credible renovation plan carry more weight with buyers than flat assumptions.

03

Pre-emption rights

Municipal rights can delay a deal. We clear that before marketing, not after.

04

Portfolio cut

A cleanly bundled regional portfolio often beats the sum of single sales — sometimes it is the other way round. We run both.

Process

How a sale runs in this segment

  1. Step 01

    Data collection

Rent roll, land register, declaration of division, maintenance history and EPCs.

  2. Step 02

    Valuation

Income approach plus scenarios for rent adjustment, refurbishment and a possible split.

  3. Step 03

    Buyer universe

Institutions, private long-term holders and municipal companies, approached separately by size and location.

  4. Step 04

    Marketing

Discreet or structured, depending on the tenancy and the need for confidentiality.

  5. Step 05

    Closing

Coordination with notary, lender and, where relevant, the municipality on pre-emption.

From practice

What we see in real deals

Tenants make this a confidentiality issue

Once word spreads in the building, unrest follows. For tenanted assets we usually work off-market with tightly managed viewings.

The backlog cannot be argued away

Roof, risers, heating — buyers apply flat deductions. A maintenance plan with contractor quotes beats any flat assumption.

Splitting involves costs and conditions

It only works where genuine owner-occupier demand exists, and even there only after checking notice-protection periods and conservation rules.

Questions

What owners ask us

The points owners raise before a mandate — answered the way we would in a first call.

Do you also sell single apartment buildings?

Yes, provided the expected transaction volume is at least EUR 10 million. For smaller assets, we may refer owners to suitable partners in our network.

How do you handle conservation areas?

We check the statute upfront and only approach buyers whose acquisition profile fits. That can reduce the risk of aborted processes.

How do you sell a larger residential portfolio?

First, the rent roll, leases, land register, maintenance history and energy certificates are prepared in full. This is followed by a valuation with scenarios for rent development, refurbishment and portfolio cut, the decision between an off-market sale and a structured bidding process, and the targeted approach to suitable buyers under NDA. Data room, offers, due diligence and notarisation complete the process. Municipal pre-emption rights and conservation rules should be clarified before marketing begins, as they can materially affect the timetable.

Which buyers are relevant for residential assets?

For larger residential assets and portfolios, relevant buyers include housing companies, open-ended and special funds, insurers and pension schemes, family offices, private long-term holders with a value-add strategy, and municipal companies. Their acquisition profiles differ by location, lot size, energy condition and regulatory risk. That is why we approach the buyer group whose profile fits the specific asset, rather than marketing broadly.

What determines the value of a residential portfolio?

Key factors are the gap between passing and market rent and whether it can legally be realised — with regard to rent tables, capping limits and conservation rules. Non-recoverable costs, maintenance backlog, energy condition, location quality, vacancy and the portfolio cut also matter. Buyers apply flat deductions for unevidenced risks; documented figures and quotes for planned works limit those deductions.

Does an off-market sale make sense?

For tenanted assets, often yes, because a publicly known sale can cause unrest among tenants. Off-market, an anonymised teaser goes only to a small number of vetted buyers; details follow under NDA. A structured bidding process, by contrast, creates more price competition. Which route fits depends on portfolio size, confidentiality needs, timetable and the number of realistic buyers.

Forward deal or sale on completion?

A forward deal brings certainty and liquidity during construction but costs margin. We run both before you commit.

Käuferkreis

Who buys residential portfolios

For larger residential holdings, different buyers are relevant depending on location, lot size, energy condition and regulatory risk. We approach the group whose current profile fits the specific asset.

  • ›Housing companies and special funds
  • ›Insurers and pension schemes
  • ›Family offices and private long-term holders
  • ›International investors focused on German residential
  • ›Municipal housing companies
